Terms of Service


Welcome to The Ecommerce Studios. These Terms of Service ("Terms") govern your engagement with our services. By working with us, you agree to the terms outlined below. Throughout this policy, "we," "our," and "us" refer to The Ecommerce Studios.

1. Nature of Services

The Ecommerce Studios provides professional ecommerce management, automation, and consulting services across leading platforms, including Amazon, Shopify, TikTok Shop, Walmart, eBay, Etsy, and YouTube. We operate as an independent service provider, delivering strategy, research, content, and hands-on management tailored to each client's business. Our services are provided on a best-efforts basis, and results may vary based on market conditions and platform dynamics.

2. Client Eligibility & Responsibilities

Our services are available to clients aged 18 and above with the business readiness to launch or scale an ecommerce operation. Clients agree to:

  • Provide accurate, complete, and up-to-date information and account access needed for us to perform our services.
  • Maintain the security of their account credentials and notify us immediately of any unauthorized access.
  • Comply with all applicable laws, regulations, and platform-specific policies.
  • Make timely payments as outlined in the Service Agreement.

3. Scope of Engagement & Payment

Services, deliverables, pricing, and timelines are defined in each client's individual Service Agreement or selected plan. Once operational work has commenced, fees are considered earned in accordance with our Refund Policy.

  • All fees are quoted in USD unless otherwise specified.
  • Payment is due as outlined in the Service Agreement or invoice.
  • Late payments may result in suspension or termination of services.

4. Payment Terms

For ongoing monthly plans, billing occurs at the beginning of each billing cycle. For one-time projects, payment schedules are defined in the Service Agreement. All payments are non-refundable once work has commenced, except as outlined in our Refund Policy.

We reserve the right to pause or terminate services for accounts with overdue balances.

5. Account Ownership & Access

Clients retain full ownership of their business accounts, listings, and brand assets at all times. The Ecommerce Studios is granted access solely to perform the services outlined in the client's plan. Access is limited to authorized personnel and is revoked upon termination of the engagement.

6. Intellectual Property

Materials developed by The Ecommerce Studios during an engagement (including content, strategies, and deliverables) become the client's property upon full payment. We retain the right to:

  • Reference general methodologies, frameworks, and approaches developed through client work to improve our own services.
  • Use anonymized, aggregated data for business analytics and service improvement.
  • Display client logos and case studies (with client consent) in our portfolio.

All pre-existing intellectual property of The Ecommerce Studios remains our exclusive property.

7. Business Ownership & Accountability

We provide product research, sourcing recommendations, and content development based on our expertise. The client retains final decision-making authority and ultimate responsibility for:

  • The products sold under their brand.
  • Compliance with platform policies and applicable laws.
  • Content published and customer interactions.
  • Any business outcomes resulting from decisions made.

8. Service Delivery & Platform Considerations

Each platform operates under its own independent policies, which may change without notice. We apply proven, multi-platform strategies to every engagement and remain engaged to help guide the business forward if a disruption occurs on any single platform. However, we cannot guarantee that platform-specific policy changes will not impact your business.

9. Disclaimer of Warranties

All services are provided "as is" and "as available." To the fullest extent permitted by law, The Ecommerce Studios makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific results, sales, or business outcomes.

10. Limitation of Liability

In the unlikely event of a claim related to our services, our total liability is limited to the total amount paid by the client for services rendered in the three (3) months preceding the claim. Under no circumstances shall we be liable for:

  • Indirect, incidental, or consequential damages.
  • Lost profits, revenue, or business opportunities.
  • Damages arising from platform policies, market conditions, or third-party actions.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Ecommerce Studios and its affiliates, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms or any Service Agreement.
  • Your violation of any laws, regulations, or third-party rights.
  • Your products, content, or business operations.

12. Force Majeure

The Ecommerce Studios is not responsible for delays or failures caused by circumstances beyond our reasonable control, including but not limited to platform outages, natural disasters, strikes, government actions, or other unforeseen events.

13. Resolving Concerns

If any concern arises, we ask that clients contact our support team directly so we can work toward a fair, timely resolution together. We are committed to addressing issues promptly and in good faith.

14. Confidentiality

Both parties agree to keep proprietary business information shared during the engagement confidential. This obligation survives the termination of the engagement.

15. Termination

Should either party wish to conclude the engagement, the process outlined in the applicable Service Agreement will guide the transition. Upon conclusion:

  • Access previously granted to The Ecommerce Studios returns fully to the client.
  • Any fees for services already rendered remain due and payable.
  • Our Refund Policy governs any refund eligibility.

16. Governing Law & Dispute Resolution

These Terms and all related agreements are governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Delaware.

17. General Provisions

  • Entire Agreement: These Terms, together with any applicable Service Agreement, constitute the complete understanding between both parties.
  • Amendments: We may update these Terms periodically. Continued engagement reflects acceptance of the current version.
  • Severability: If any provision is found to be unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
